1. Acceptance of Terms

Welcome to Truvano Marketplace ("Truvano," "we," "us," or "our"). By accessing or using our platform at truvano.ng and related services, you agree to be bound by these Terms and Conditions ("Terms").

If you disagree with any part of these terms, you may not access our services. These Terms apply to all users, including browsers, vendors, buyers, and affiliates.

2. User Accounts

2.1 Account Creation

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

2.2 Account Types

• Buyers: Create accounts to purchase products and services
• Vendors: Register to sell products or services on the platform
• Affiliates: Sign up to promote products and earn commissions
• Admin: Platform administrators (by invitation only)

2.3 Account Security

You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Vendor Terms

3.1 Vendor Obligations

As a vendor, you agree to:

• Provide accurate product descriptions, images, and pricing
• Fulfill orders promptly and as described
• Maintain good customer service standards
• Comply with all applicable laws and regulations
• Honor refund and return policies

3.2 Listing Requirements

Product listings must comply with our content guidelines. We reserve the right to remove listings that violate these Terms or applicable laws.

3.3 Subscription Tiers

Vendors may choose from different subscription tiers (Starter, Pro, Business, Enterprise) with varying features and listing limits. Subscription fees are non-refundable.

4. Buyer Terms

4.1 Purchase Process

By placing an order, you make an offer to purchase products or services. All orders are subject to acceptance by the vendor and availability of products.

4.2 Pricing & Payment

Prices are set by vendors and displayed in Nigerian Naira (₦). All payments must be made through our secure payment system. You agree to pay all charges incurred by your account.

4.3 Order Disputes

If you have issues with an order, you may open a dispute through our platform. We will mediate but are not obligated to resolve disputes.

5. Affiliate Terms

5.1 Commission Structure

Affiliates earn commissions on qualifying purchases made through their referral links. Commission rates vary by product and vendor, typically ranging from 5-15%.

5.2 Promotion Guidelines

• You may not use spam or deceptive marketing practices
• You must clearly disclose your affiliate relationship
• You may not bid on our branded keywords in paid search
• You may not misrepresent our products or services

5.3 Payment Terms

Commissions are credited after order completion and confirmation. Minimum withdrawal amount is ₦1,000. We reserve the right to withhold payment for fraudulent or suspicious activity.

6. Payments & Fees

6.1 Platform Fees

We charge commission on successful transactions. Payment gateway fees (Paystack) apply to card transactions. All fees are clearly disclosed before payment.

6.2 Wallet System

Our integrated wallet allows you to store funds, make purchases, and receive payments. Wallet-to-wallet transfers are free. Bank withdrawals may incur processing fees.

6.3 Refunds

Refund eligibility is determined by our Refund Policy. Subscription fees and promotion fees are generally non-refundable.

7. Prohibited Activities

You agree NOT to:

• Use the platform for any illegal purposes
• Sell counterfeit, stolen, or prohibited items
• Engage in fraudulent transactions or money laundering
• Harass, threaten, or abuse other users
• Attempt to bypass our payment system
• Manipulate ratings, reviews, or rankings
• Scrape or harvest data from the platform
• Distribute malware or viruses

8. Limitation of Liability

Truvano acts as a marketplace platform connecting buyers and vendors. We are not responsible for:

• Product quality, accuracy, or vendor fulfillment
• Disputes between buyers and vendors
• Third-party payment gateway issues
• User-generated content or reviews
• Service interruptions or data loss

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE LAST 12 MONTHS.

9. Intellectual Property

All content on Truvano, including logos, designs, text, and graphics, is our property or licensed to us. You may not use our intellectual property without written permission.

10. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our discretion.

11. Changes to Terms

We may modify these Terms at any time. Continued use of the platform after changes constitutes acceptance of the new Terms.
